Lido Alliance BORG Update: Appointment of Bryce Howarth as a New Director

Bryce is a professional independent director at Horizons Global. He is a Chartered Accountant with extensive experience providing directorship, governance, compliance and operational support to protocol and foundation companies.

Background

Lido Alliance BORG is a Cayman Islands foundation company established to support the purposes assigned to it under its governing documents as approved by Lido DAO. It has no members or beneficiaries, and its business and affairs are managed by or under the control of its board of directors. It is funded through the Ecosystem Grant gRequest (EGG).

Under the Lido Alliance BORG Bylaws, as amended, the foundation must have at least two directors, and director elections require approval by both the board and a Community Module Approval, i.e., approval by LDO holders via Snapshot vote.

Proposal

Approve the appointment of Bryce Howarth as a director of Lido Alliance BORG.

If this proposal is approved:

• Bryce Howarth will be appointed as a new director of Lido Alliance BORG, with the board completing the necessary corporate actions to give effect to the appointment.
• Upon the appointment becoming effective, Adrian Cachinero Vasiljevic (@adcv, @Steakhouse) will resign from his position as a member of the board.
• The board of Lido Alliance BORG will consist of Bryce Howarth and Shaun Musuka (@Steakhouse).

Bryce Howarth is a professional independent director at Horizons Global, where he specialises in operational excellence for protocol and foundation companies. He provides hands-on leadership across governance, compliance and strategic planning for both early-stage projects and established protocols. He currently serves as an independent director of companies supporting a range of Web3 projects, including Layer 1 and Layer 2 networks, gaming platforms, yield infrastructure, real-world asset projects, decentralised exchanges and stablecoin initiatives.

Bryce is also a Chartered Accountant with a background in financial services. His combination of governance, operational and financial experience would strengthen the board's ability to support Lido Alliance BORG's activities and continued development.
